Terms of Service

1. Agreement

By purchasing a licence key for and/or using RiskDesk ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. The Service is operated by Stephen Hood ("we", "us", "our").

2. Description of Service

RiskDesk is a browser-based trade risk management, journaling, and analysis tool. It provides position-sizing calculators, trade logging, statistical analysis, and optional cloud synchronisation. It is delivered as a self-hosted HTML application activated by a licence key purchased via Gumroad.

3. Not Financial Advice

Live prices displayed within the application are provided by third-party services (Alpaca, Finnhub) and may be delayed, inaccurate, or unavailable. Never execute trades based solely on prices shown in RiskDesk. Always verify with your broker.

4. Licence

Upon purchase, you are granted a personal, non-exclusive, non-transferable, revocable licence to use RiskDesk for your own personal or professional trading activities. You may not:

• Redistribute, resell, sublicence, or share the application or your licence key.
• Reverse-engineer, decompile, or create derivative works from the application.
• Use the application for any unlawful purpose.
• Remove or alter any proprietary notices or branding.

We reserve the right to revoke a licence if these terms are violated.

5. Payment & Refunds

Payments are processed by Gumroad. Refund eligibility is governed by Gumroad's refund policy. If you experience a technical issue preventing use of the application, please contact us at support@riskdesk.io before requesting a refund so we can attempt to resolve it.

6. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights. By using the Service, you acknowledge you have read and understood the Privacy Policy.

7. Third-Party Services

RiskDesk integrates with third-party services including Gumroad (licence validation), Supabase (cloud database), Alpaca (market data), Finnhub (market data and sector classification), and Frankfurter (currency exchange rates). These services are governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Availability & Warranties

RiskDesk is provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding:

• The accuracy, reliability, or completeness of any calculations, statistics, or data displayed.
• Uninterrupted or error-free operation of the Service.
• The availability of third-party data services (prices, exchange rates, sector data).
• The security or persistence of data stored in any mode (local, Google, or cloud).

We strongly recommend using the Backup Data function regularly.

9. Limitation of Liability

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or trading losses arising out of or in connection with your use of the Service. Our total liability for any claim shall not exceed the amount you paid for the licence.

10. Indemnification

You agree to indemnify and hold harmless Stephen Hood from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your trading activities, or your violation of these Terms.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via the application or website. Continued use after changes are posted constitutes acceptance. If you disagree, you should stop using the Service.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
